Terms and conditions

Clear arrangements for training, advisory and interim work.

About these terms.

These terms apply to every quotation and assignment of INSPITRAIN, the company Reinier van Dieren trades through. They are sent with every quotation.

Version of 9 October 2026. This is a translation: the Dutch text is binding.

Article 1Definitions.

In these terms:

  1. Contractor means INSPITRAIN, the sole proprietorship of Reinier van Dieren, established in Baarn, the Netherlands, registered with the Chamber of Commerce (KvK) under number 52660583, VAT number NL001865508B37.
  2. Client means the organisation or person, acting in the course of a profession or business, that enters into or wishes to enter into an Agreement with the Contractor.
  3. Agreement means any arrangement between the Client and the Contractor for the provision of Services, including an accepted quotation or engagement confirmation.
  4. Services means all work carried out by the Contractor, including:
    • Advisory Assignments: strategic L&D consultancy and similar advisory work;
    • Interim Assignments: temporarily leading a function, department or change process at the Client;
    • Training: training courses, workshops, leadership programmes, sessions, coaching and facilitation, including their design.
  5. Participant means a person who takes part in a Training on behalf of the Client.
  6. Delivery Date means the first day on which a Training, or part of it, takes place under the Agreement.
  7. Associate means an independent expert engaged by the Contractor to help carry out an Agreement.
  8. In Writing means by letter or by email.

Article 2Application.

  1. These terms apply to all quotations, Agreements and Services of the Contractor.
  2. Deviations apply only if agreed In Writing, and only to the Agreement for which they were made.
  3. Purchasing terms or other terms of the Client do not apply unless the Contractor has accepted them In Writing. If those terms conflict with these terms, these terms prevail.
  4. If the Agreement conflicts with these terms, the Agreement prevails.
  5. If any provision of these terms is void or annulled, the remaining provisions continue to apply. The parties will then replace the provision with a valid one that comes as close as possible to its intent.
  6. These terms were drawn up in Dutch. If the Dutch and English versions differ, the Dutch text prevails.

Article 3Quotations and formation of the Agreement.

  1. Quotations are without obligation and valid for 30 days from their date, unless the quotation states otherwise.
  2. The Agreement is formed when the Client accepts the quotation In Writing, or when the Contractor starts work with the Client's consent.
  3. A quotation is based on the information provided by the Client. If that information proves incorrect or incomplete, the Contractor may adjust the quotation.

Article 4Performance.

  1. The Contractor performs the Services to the best of its knowledge and ability and in accordance with good professional practice. The Contractor has an obligation of effort, not an obligation of result, unless expressly agreed otherwise In Writing.
  2. The Client provides in good time all information, access, facilities and cooperation that the Contractor reasonably needs. Any delay or additional work resulting from failure to do so is at the Client's risk and expense.
  3. The Contractor may engage Associates or other third parties after consulting the Client. The Contractor remains responsible to the Client for the performance of the Agreement.
  4. The Client remains responsible for decisions it takes on the basis of the Contractor's advice or work, and for how it implements them.
  5. Deadlines in the Agreement are target dates, not strict deadlines, unless agreed otherwise In Writing.

Article 5Changes and additional work.

  1. If the parties wish to change the content or scope of the Services, they record this In Writing.
  2. Work outside the agreed assignment is additional work. The Contractor carries out additional work only with the Client's approval and charges it at the agreed rates or, failing those, at the Contractor's usual rate.

Article 6Rates and expenses.

  1. All rates are in euros and exclusive of VAT, unless stated otherwise.
  2. Unless agreed otherwise, the following expenses are charged in addition to the rate:
    • travel by car: € 0.45 per kilometre actually driven, invoiced afterwards;
    • other travel and accommodation costs, such as public transport, flights and hotels, at actual cost;
    • costs of venue, catering and materials;
    • costs of licences, assessments and other third-party products.
  3. The Contractor may adjust its rates once per calendar year as of 1 January. For running Agreements with a term of more than six months, the adjustment applies from that date. The Contractor gives at least one month's notice.

Article 7Invoicing and payment.

  1. The Contractor invoices:
    • for Training: the full programme after the first training day;
    • for Advisory and Interim Assignments: monthly in arrears, based on time spent or the agreed fixed fee;
    • travel and other expenses: afterwards.
  2. The Client pays within 14 days of the invoice date, without discount or set-off.
  3. If the Client does not pay on time, it is in default without notice and owes the statutory commercial interest (Article 6:119a of the Dutch Civil Code). The Contractor may also suspend work until payment has been made.
  4. Reasonable costs of collecting a claim are borne by the Client, at least in accordance with the Dutch Extrajudicial Collection Costs Decree (Besluit vergoeding voor buitengerechtelijke incassokosten).
  5. The Client raises any objection to an invoice In Writing within 14 days of the invoice date. An objection does not suspend the obligation to pay the undisputed part.

Article 8Training.

Cancellation by the Client

  1. The Client may cancel a Training only In Writing. The date of receipt by the Contractor counts.
  2. On cancellation, the Client owes the following share of the agreed fee for the cancelled Training:
    • cancellation 30 days or more before the Delivery Date: 0%;
    • cancellation 29 to 15 days before the Delivery Date: 50%;
    • cancellation 14 days or fewer before the Delivery Date: 100%.
  3. In addition, the Client always pays:
    • design and preparation time already spent, to the extent not already covered by the fee under paragraph 2;
    • costs the Contractor has already incurred or can no longer cancel, such as venue, travel, materials and the engagement of Associates.
  4. If a Training consists of several days or sessions, the scale applies per day or session, counted from the date of that day or session.
  5. Moving a Training to another date counts as cancellation of the original date.
  6. If a Participant does not attend, or attends only in part, the full fee remains due.

Participants

  1. A Participant cannot be replaced by another person.
  2. If the Client reduces the number of Participants, the scale in paragraph 2 applies to the part of the fee attributable to those Participants. If the Training has a fixed price per group, the full price remains due.
  3. The Client informs Participants of the arrangements that apply to them, such as times, venue and preparation.

Cancellation or change by the Contractor

  1. If the Contractor cannot deliver a Training due to illness or another serious reason, the Contractor reports this as soon as possible and, in consultation with the Client, offers an alternative date or an equivalent replacement trainer. If the Client wants neither, the Client pays only for work already delivered and the Contractor owes no further compensation.
  2. The Contractor may adjust the content or programme of a Training if this improves its quality, provided the purpose and scope remain the same.

Venue

  1. If the Client provides the venue, it also provides a suitable room and the agreed facilities. The Client is responsible for safety at that venue.

Article 9Advisory and Interim Assignments.

  1. An Advisory or Interim Assignment is entered into for the term or number of days set out in the Agreement. If nothing has been agreed, the assignment runs until the work is completed.
  2. Either party may terminate a fixed-term assignment early, In Writing, with one month's notice. The Client pays for the work up to the end of the notice period, plus any costs the Contractor has already incurred.
  3. If the Client cancels a scheduled day or appointment:
    • more than 5 working days in advance: free of charge;
    • 5 working days or fewer in advance: the scheduled time is charged in full.
  4. The Contractor keeps a record of hours and sends it with the invoice. The Client may object In Writing within 14 days; after that, the record is deemed accepted.
  5. The Contractor carries out assignments independently, as a self-employed entrepreneur, without a relationship of authority. The Contractor decides how the work is carried out, taking into account reasonable instructions about the result and the Client's house rules.
  6. In an Interim Assignment, the Contractor exercises only the powers the Client has granted In Writing. The mandate, budget and reporting line are recorded in the Agreement.
  7. If the Contractor is unable to work for more than five working days, the parties consult on how to proceed. The Contractor may, with the Client's consent, propose an equivalent replacement.

Article 10Intellectual property.

  1. All intellectual property rights in materials the Contractor uses or creates, such as training materials, models, methods, exercises, presentations and reports, remain with the Contractor or its licensors.
  2. The Client receives a non-exclusive, non-transferable right to use the materials created for it within its own organisation, for the purpose for which they were created. This right arises once the Client has paid in full.
  3. The Client may not copy, sell or make the materials available to third parties, or use them to have training delivered by itself or by others, without the Contractor's written consent.
  4. The Contractor may use the knowledge, experience and general methods it gains or uses in an assignment for other clients, without using the Client's confidential information.
  5. Sessions may be recorded only with the consent of the Contractor and of the Participants.

Article 11Confidentiality.

  1. The parties keep confidential all confidential information they receive from each other. Information is confidential if this has been stated or follows from its nature.
  2. What a Participant shares personally in a Training or coaching conversation remains confidential. The Contractor reports to the Client only on progress and outcomes at group level, unless the Participant consents or otherwise agreed and communicated to the Participant in advance.
  3. Confidentiality does not apply to the extent that disclosure is required by law, a court decision or a professional rule.
  4. The duty of confidentiality continues after the Agreement ends.
  5. The Contractor may name the Client as a reference only with its consent.

Article 12Personal data.

  1. The Contractor processes personal data in accordance with the General Data Protection Regulation and the privacy statement at reiniervandieren.com/privacy.
  2. If the Contractor processes personal data on the Client's behalf, the parties enter into a data processing agreement where required.

Article 13Liability.

  1. The Contractor is liable only for direct damage resulting from an attributable failure in the performance of the Agreement.
  2. That liability is limited to the amount the Contractor has invoiced for the Agreement concerned and, for an Agreement with a term of more than six months, to the amount invoiced in the six months before the event causing the damage. In any case it is limited to the amount paid out in the case concerned under the Contractor's professional or business liability insurance.
  3. The Contractor is not liable for indirect damage, including consequential damage, lost profits, lost savings, business interruption and reputational damage.
  4. The Contractor is not liable for damage resulting from incorrect or incomplete information provided by the Client, or from decisions the Client takes or implements on the basis of the Contractor's advice.
  5. The limitations in this article do not apply in the event of intent or deliberate recklessness on the part of the Contractor.
  6. A claim for damages lapses if the Client has not submitted it In Writing to the Contractor within twelve months after it discovered, or could reasonably have discovered, the damage.
  7. This article also applies to Associates and other persons the Contractor engages in performing the Agreement.

Article 14Force majeure.

  1. Force majeure means any circumstance beyond the Contractor's control that temporarily or permanently prevents performance, such as serious illness, extreme weather, government measures, epidemics, strikes and disruptions to public transport or air travel.
  2. In the event of force majeure, performance is suspended for as long as it lasts. If force majeure lasts longer than two months, either party may terminate the Agreement In Writing, without compensation. Services already delivered are paid for proportionally.
  3. If a Training cannot go ahead due to force majeure, the parties first try together to find a new date or an online alternative.

Article 15Termination.

  1. Either party may terminate the Agreement In Writing with immediate effect if the other party goes bankrupt, applies for a suspension of payments or ceases its business.
  2. Either party may terminate the Agreement if the other party fails to perform a material obligation and does not remedy this within a reasonable period after a written notice of default.
  3. Amounts the Contractor has already invoiced for Services delivered remain due and become immediately payable.

Article 16Complaints.

  1. The Client reports complaints about the performance of the Services as soon as possible, and no later than 30 days after discovering the issue, In Writing to reinier@reiniervandieren.com.
  2. The Contractor confirms receipt within five working days and responds in substance within 14 days.
  3. If a complaint is justified, the Contractor, in consultation, carries out the work concerned after all or again, or credits a reasonable part of the invoice.

Article 17Governing law and disputes.

  1. All quotations and Agreements and these terms are governed exclusively by Dutch law, also if the Client is established outside the Netherlands or the Services are performed outside the Netherlands. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
  2. The parties first try to resolve any dispute together.
  3. Disputes are submitted exclusively to the competent court of the District Court of Midden-Nederland (Rechtbank Midden-Nederland).

Article 18Changes to these terms.

  1. The Contractor may change these terms. For a running Agreement, the version that applied when the Agreement was formed continues to apply, unless the parties agree otherwise.
  2. These terms are available at reiniervandieren.com/algemene-voorwaarden (Dutch) and reiniervandieren.com/terms (English), and will be sent free of charge on request.
